Terms of Service

By accessing our website (markedee.com) or engaging Markedee Technologies Private Limited ("Markedee", "we", "us") for any service, you agree to be bound by these Terms of Service.

If you do not agree with any part of these terms, please do not use our website or services. These terms apply to all visitors, clients, and users of our services.

Markedee Technologies provides the following services:

- Digital Marketing (Social Media Marketing, SEO, Google & Meta Advertising) - AI Agents & Workflow Automation - Web Development & Design - Brand Strategy & Identity - Content Marketing - SaaS products under the Tooldee brand (tooldee.app)

The specific scope, deliverables, timelines, and pricing for each engagement will be defined in a separate Service Agreement or Statement of Work (SOW) signed between Markedee and the client.

As a client, you agree to:

- Provide accurate and complete information required for delivering services - Respond to communications in a timely manner to avoid project delays - Ensure you have the legal rights to any content, logos, or materials provided to us - Make payments as per the agreed schedule - Not use our services for any unlawful, harmful, or fraudulent purpose

Payment terms are as follows:

- All fees are quoted in Indian Rupees (INR) unless otherwise stated - A retainer or advance payment may be required before work commences - Invoices are due within the date specified on the invoice (typically 7–15 days) - Late payments may attract an interest of 1.5% per month on the outstanding amount - We reserve the right to pause or discontinue services in case of non-payment

All prices are exclusive of applicable taxes (GST) unless explicitly stated otherwise.

**Client-owned content:** Any content, logos, trademarks, or materials you provide to us remain your property. You grant us a limited licence to use them solely for delivering the agreed services.

**Markedee-created content:** Upon full payment, all deliverables created specifically for you (designs, copy, code, campaigns) become your property.

**Our tools & processes:** Any proprietary tools, methodologies, templates, or processes we use internally remain the exclusive property of Markedee Technologies and are not transferred to the client.

**Portfolio use:** We reserve the right to showcase completed work in our portfolio and case studies unless you specifically request confidentiality in writing.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, financial data, customer information, and unpublished content.

This obligation survives the termination of services for a period of 2 years.

Each service package includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed limit will be billed at our standard hourly rate.

Any significant changes to the project scope after work has commenced ("scope creep") will require a revised SOW and may affect timelines and pricing. We will communicate this to you before proceeding.

Either party may terminate the engagement by providing 30 days written notice.

Upon termination: - Work completed up to the termination date will be invoiced and payable - Any advance payments for undelivered work will be refunded on a pro-rata basis, minus costs already incurred - You will receive all completed deliverables paid for up to the termination date

Markedee reserves the right to terminate immediately if a client engages in illegal activity, harassment of staff, or breach of these terms.

Markedee's total liability for any claim arising from our services shall not exceed the total amount paid by you in the 3 months preceding the claim.

We are not liable for: - Loss of revenue, profits, or business opportunities - Indirect, incidental, or consequential damages - Outcomes dependent on third-party platforms (Google, Meta, Instagram, etc.) that change their algorithms or policies - Force majeure events beyond our control

Digital marketing results depend on many factors outside our control — including but not limited to market conditions, competition, platform algorithm changes, and ad spend.

We do not guarantee specific outcomes such as a fixed number of leads, a particular search ranking, or a specific return on ad spend (ROAS). We do guarantee our best efforts, transparent reporting, and data-driven optimisation throughout the engagement.

Many of our services involve third-party platforms (Google Ads, Meta, Instagram, WhatsApp, etc.). We are not responsible for:

- Changes in platform policies, algorithms, or pricing - Platform outages or technical issues - Account suspensions by the platform for policy violations caused by client-provided content

You are responsible for ensuring any content you provide complies with the respective platform's advertising policies.

When using markedee.com, you agree not to:

- Attempt to gain unauthorised access to any part of the website - Use automated bots or scrapers to extract content - Transmit viruses, malware, or harmful code - Use the site for any unlawful purpose

We reserve the right to restrict access to the website at our discretion.

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bareilly, Uttar Pradesh, India.

We encourage resolving disputes amicably first. Please write to us at hello@markedee.com before initiating any legal proceedings.

We may update these Terms of Service from time to time. The updated version will be published on this page with a revised "Last Updated" date. Continued use of our services after such changes constitutes your acceptance.

We recommend reviewing these terms periodically.
